The Company agrees to issue to the Subscriber, and the Subscriber agrees to subscribe for, 250,000 fully paid and non-assessable Class A Common Shares (the “Shares”) of the Company at a subscription price of $3.14 per share, for an aggregate subscription amount of $250,000.
